Terms of Service

By using Midnight Plan, you agree to these Terms of Service. Please read them carefully before using the service.
These terms are published in French and English. The French version is the one presented to you by default; you may read the English version before accepting. In case of any discrepancy between the two, the French version prevails.
The service
Midnight Plan is a web application for planning group plans. It lets you propose candidate dates, collect participants' availability and pick the best slot together.
A free tier gives access to the features described above. Paid options and a donation option may be added later. Prices shown on the public site are preliminary, are quoted before applicable taxes, and commit you to nothing: no paid plan is open at this time. Their terms, final pricing, renewal and cancellation rules will be set out here before any of them goes live.
A plan has a limited lifetime. It is deleted automatically once the expiry derived from its last proposed date is reached, and that deletion is final. The details are in the privacy policy. If the content of a plan matters to you, keep your own copy.
Your account
- You must provide accurate information when creating your account.
- You are responsible for keeping your access credentials confidential and for all actions taken under your account.
- You may not create an account on behalf of another person without their consent.
- You must be at least 14 years old to use Midnight Plan. Below that age, consent must be given by the holder of parental authority.
Inviting other people
A plan is meant to be shared, and you decide with whom. That makes you responsible for what you share:
- You must have the agreement of the people whose email address you use to invite them, and invite only people who expect to hear from you.
- The invitation link grants access to the plan to anyone holding it, unless you set a password on it. Posting that link publicly exposes the name and availability of every participant.
- The information other participants put into your plan does not belong to you. You may neither extract it for another purpose nor pass it on to third parties.
Acceptable use
You agree not to use Midnight Plan to:
- Post illegal, offensive, misleading, or rights-infringing content.
- Attempt to access plans or accounts without authorisation.
- Disrupt, overload, or compromise the availability of the service.
User content
You retain ownership of the content you create (plan names, notes, pseudonyms). By using the service, you grant us a limited licence to store and display that content as part of the application's operation.
Reporting content
Content that breaks the rules above can be reported by email to the address below, with the link to the plan concerned and what the problem is. We acknowledge receipt and answer as quickly as we can.
Depending on how serious it is, we may remove the content, close the plan, or suspend the account behind it. We tell the person concerned, unless the law or an investigation forbids it.
Service availability
Midnight Plan is provided "as is". We do not guarantee continuous availability and reserve the right to modify, suspend, or discontinue the service at any time, with or without notice.
This clause applies to the extent permitted by law. It takes nothing away from the legal warranties a consumer holds, in particular those under Quebec's Consumer Protection Act.
Termination
You may delete your account at any time via the Profile page. We reserve the right to suspend or delete any account that violates these terms.
Limitation of liability
To the extent permitted by applicable law, Midnight Plan shall not be liable for any indirect, incidental, or consequential damages arising from the use of or inability to use the service.
Nothing in these terms excludes or limits a warranty or a remedy the law reserves for a consumer. Should a clause be held invalid on that ground, it would be set aside without affecting the others.
Changes to these terms
We may update these terms. For a substantial change, a new version number is published and your acceptance is requested at your next sign-in. Until it is given, access to the application stays suspended.
Governing law
These terms are governed by the laws in force in Quebec. Any dispute over their interpretation or application falls to the courts of Quebec. This clause does not deprive a consumer of the remedies the law reserves for them.
Data hosting
The servers hosting Midnight Plan and its backups are located in the United States, and all traffic passes through a network relay also established in the United States. By using the service, you accept that your data is processed and stored there. Recipients and safeguards are detailed in the privacy policy.
Who runs the service
Midnight Plan is run by an individual based in Quebec, Canada, reachable at the contact address below. That person answers for these terms and for the protection of personal information. A postal address will be published here before any paid option opens.
